Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Zetty's website and sales automation software (collectively, the "Service"), operated by Zetty ("Zetty," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Zetty provides sales automation tools, including WhatsApp-based conversational automation, Instagram automation, CRM organization, and related features designed to help businesses manage and close sales. Zetty's Instagram features connect to your Instagram professional account, through Meta's official APIs, to read your profile information, manage your Direct inbox (received and sent messages, including comments that convert into Direct conversations, and automated replies), and organize your contacts and conversations inside your Zetty CRM. Zetty is a software provider; it is not a party to, and assumes no responsibility for, the transactions between you and your own customers.

2. Plans, Pricing, and Billing

Zetty currently offers the following plans, priced in U.S. dollars:

• Core — a recurring monthly subscription, billed automatically each month until canceled.
• Ultra — a one-time payment granting access to the corresponding plan as described at the time of purchase.

All payments are processed securely through our payment processor, Stripe. By subscribing, you authorize Zetty and Stripe to charge your chosen payment method on a recurring basis (for subscription plans) until you cancel. Prices are subject to change with reasonable prior notice; changes will not affect a billing cycle already in progress.

3. Cancellations and Refunds

You may cancel a recurring subscription at any time; cancellation will take effect at the end of the current billing period, and you will not be charged again. Fees already paid are non-refundable except where required by applicable law or expressly stated otherwise at the time of purchase. One-time purchases (such as the Ultra plan) are final once access has been granted, except where required by law.

4. Acceptable Use

You agree not to use the Service to:

• Send unsolicited, deceptive, or abusive messages, or otherwise violate WhatsApp's, Instagram's, or Meta's own terms of service, Platform Terms, and commerce policies;
• Violate any applicable law or the rights of any third party, including data protection and consumer protection laws;
• Use your connected Instagram account, or the data obtained through it, for any purpose other than operating your own business's inbox, profile, and CRM inside the Service;
• Reverse-engineer, resell, or sublicense the Service without our written consent;
• Introduce malware, interfere with the Service's operation, or attempt unauthorized access to our systems.

We may suspend or terminate your access if we reasonably believe you have violated these Terms. If you revoke Zetty's access to your Instagram account (through Instagram's or Meta's own settings), the corresponding Instagram features of the Service will stop working until access is reconnected.

5. Your Content and Data

You retain ownership of the data and content you submit to the Service, including your customer conversations and business information. You grant Zetty a limited license to use that data solely to provide and improve the Service on your behalf. You are responsible for ensuring you have the necessary rights and consents to share your customers' information with us. With respect to data obtained through your WhatsApp or Instagram integrations, you are the data controller and Zetty acts solely as a data processor on your instructions, as described in our Privacy Policy.

6. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by Zetty and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service; you receive only a limited, non-exclusive, non-transferable license to use it in accordance with these Terms.

7. Third-Party Services

The Service integrates with third-party platforms, including the WhatsApp Business Platform and the Instagram Platform, both operated by Meta Platforms, Inc., and payment processing by Stripe, Inc. Your use of those integrations is also subject to the respective third party's own terms and policies, including Meta's Platform Terms and Instagram's Terms of Use. Zetty is not affiliated with, endorsed by, or sponsored by Meta, WhatsApp, or Instagram.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific sales results, revenue, or outcomes from using the Service, as these depend on factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Zetty and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Zetty in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold Zetty harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or as required by law. You may stop using the Service and cancel your subscription at any time as described in Section 3.

12. Governing Law

These Terms are governed by the laws applicable in Zetty's jurisdiction of operation, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the competent courts of that jurisdiction, unless applicable consumer protection law requires otherwise.

13. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms on this page. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
